1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Charna. website, products and services.

Charna. is a Johannesburg-based brand specialising in limited-run, handcrafted leather bags and accessories.

By accessing our website or purchasing from us, you agree to be bound by these Terms, together with our Shipping Policy, Returns Policy and Privacy Policy.


2. Legal Compliance & Consumer Rights (South Africa)

Nothing in these Terms limits your rights under the Consumer Protection Act 68 of 2008 (“CPA”) or any other applicable South African legislation.

Where there is any conflict between these Terms and applicable law, the law prevails.

Customers are entitled to goods that are:

  • Of good quality
  • In working order
  • Free from defects
  • Durable for a reasonable period

Subject to the CPA, Charna. reserves the right to repair, replace or refund defective goods at our discretion within statutory guidelines.


3. Products & Craftsmanship

Charna. products are handcrafted using natural leather and traditional processes. Variations in:

  • Grain
  • Tone
  • Surface markings
  • Stitching nuances

are inherent characteristics of the material and craftsmanship and do not constitute defects.

We produce in limited quantities. Product availability is not guaranteed and may change without notice.

We reserve the right to discontinue any product line, collection or style at any time.


4. Pricing & Payment

All prices are listed in South African Rand (ZAR) unless stated otherwise.

Charna. reserves the right to adjust pricing without prior notice. Prices applicable to your order are those displayed at checkout.

Full payment is required before production (if made-to-order) or dispatch.

We are not responsible for:

  • Bank charges
  • Currency conversion fees
  • Customs duties
  • Import taxes for international orders

5. Order Acceptance & Cancellation

Order confirmation emails do not constitute acceptance of an order.

Charna. reserves the right to:

  • Refuse or cancel any order
  • Limit quantities per customer
  • Cancel suspected resale or fraudulent transactions

If cancellation occurs after payment, a refund will be processed to the original payment method.


6. Shipping & Risk

Shipping is governed by our Shipping Policy.

Risk passes to the customer upon confirmed delivery to the provided address.

Charna. is not liable for delays caused by:

  • Couriers
  • Customs
  • Force majeure events
  • Incorrect address information provided by the customer

7. Returns & Exchanges

Returns are governed by our Returns Policy and applicable CPA provisions.

Customised, embossed, corporate branded or made-to-order items are not eligible for return unless defective.

Items must be returned unused and in original condition.

Charna. reserves the right to inspect returned items before approving refunds.

8. Sales Tax

Please note that you may be required by the country in which your receive your order to pay sales tax or customs duties on the order. These fees will be the responsibility of the purchaser or receiver and not for Charna.


BUSINESS-TO-BUSINESS TERMS

9. Corporate Gifting & Bulk Orders

Charna. provides premium corporate gifting solutions for businesses, including real estate agencies, luxury automotive partners, hospitality groups and corporate onboarding programmes.

For bulk orders:

  • A formal quotation will be issued
  • A deposit may be required before production
  • Production timelines will be confirmed in writing
  • Branding specifications must be approved in advance

Once custom branding (including embossing, logo stamping or packaging customisation) has commenced, orders cannot be cancelled.

Lead times may vary depending on volume and leather availability.

Charna. is not responsible for incorrect branding specifications approved by the client.


10. Wholesale & Distribution

Wholesale accounts are subject to a separate Wholesale Agreement.

Charna. reserves the right to:

  • Approve or decline wholesale applications
  • Set minimum order quantities
  • Establish recommended retail pricing
  • Restrict resale channels

Wholesale partners may not:

  • Sell Charna. products on third-party marketplaces without written consent
  • Modify, alter or rebrand products
  • Undercut recommended retail pricing in a manner damaging to brand positioning

Charna. retains full ownership of brand identity, intellectual property and design rights.


11. Influencer & Collaboration Terms

Charna. may engage in influencer collaborations, brand partnerships or ambassador programmes.

Unless otherwise agreed in writing:

  • All content featuring Charna. products may be reposted or used by Charna. for marketing purposes
  • Deliverables must be completed as outlined in written agreements
  • Products gifted for promotional use are non-returnable
  • Failure to deliver agreed content may result in termination of collaboration

Charna. reserves the right to discontinue partnerships that conflict with brand values.


DIGITAL & INTELLECTUAL PROPERTY

12. Intellectual Property

All website content including:

  • Product designs
  • Patterns
  • Photography
  • Logos
  • Branding
  • Copywriting
  • Packaging concepts

is the exclusive property of Charna. 

Unauthorised reproduction, distribution or imitation of our designs is prohibited and may result in legal action.


13. Website Use

You may not use our website:

  • For unlawful purposes
  • To infringe intellectual property
  • To distribute harmful software
  • To scrape data or copy product designs

We reserve the right to suspend access for misuse.


LIABILITY & RISK

14. Limitation of Liability

To the fullest extent permitted by law, Charna. shall not be liable for:

  • Indirect or consequential damages
  • Loss of business or revenue
  • Misuse of products

Total liability shall not exceed the amount paid for the product in question.

Nothing excludes liability where it cannot legally be excluded under South African law.


15. Force Majeure

Charna. shall not be liable for failure to perform due to events beyond reasonable control, including but not limited to:

  • Natural disasters
  • Supply chain disruptions
  • Government restrictions
  • Power outages
  • Labour disruptions

16. Privacy & Data Protection

Personal information is processed in accordance with our Privacy Policy and the Protection of Personal Information Act (POPIA).

We implement reasonable security safeguards but cannot guarantee absolute security of online transmissions.


17. Amendments

Charna. reserves the right to update these Terms at any time.

Continued use of the website constitutes acceptance of revised Terms.


18. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any disputes shall be subject to the jurisdiction of South African courts.
